1. Overview
At The Roc ("the Platform") is a software-as-a-service application that provides event registration, management, and membership tools. By using this Platform, you agree to the following terms.
2. Platform Services
The Platform sells app access and related setup/maintenance services. The Platform provides tools for organizers to create events, manage registrations, configure ticket pricing, and connect their own payment processors. The Platform does not organize events, provide event services, or guarantee event quality.
3. Merchant of Record Disclaimer
The Platform is NOT the "Merchant of Record" for event registration payments.
Event organizers are independent parties who connect their own payment processor (e.g., Stripe) to accept registration payments. When an attendee pays for an event registration:
- Registration payments flow through the organizer's connected payment processor.
- Funds are deposited directly into the organizer's account.
- The Platform does not receive, hold, or settle event registration funds (except for a small platform service fee).
- The organizer is the merchant of record for all event-related transactions.
4. Two Payment Paths
Path A: Platform Fees
Subscription fees and setup/maintenance fees are collected by the Platform for app access and services. The Platform is the merchant for these charges.
Path B: Event Payments
Registration payments flow through the organizer's connected processor and settle directly to the organizer's account. The Platform does not receive or settle these funds.
5. Taxes
The Platform provides an optional tax field and toggle that organizers may use when configuring event pricing. However:
- The organizer is solely responsible for determining whether tax applies to their events.
- The organizer is responsible for configuring the correct tax rate and label.
- The organizer is responsible for collecting and remitting any applicable taxes to the appropriate tax authority.
- The Platform does not provide tax advice, calculate tax obligations, or file tax returns on behalf of organizers.
- Organizers should consult with a qualified tax professional regarding their specific obligations.
6. Organizer Responsibilities
As an event organizer on the Platform, you acknowledge that:
- You are the organizer and merchant of record for the events you create.
- You must connect your own payment processor before publishing paid events.
- Registration funds go directly to your processor account.
- You are responsible for handling attendee refunds, disputes, and customer service related to your events.
- You must comply with all applicable local, state, and federal laws regarding event operation, taxation, and commerce.
- You should only use the "Apply tax" feature if your local requirements call for it.
7. Attendee Responsibilities
As an event attendee:
- Your payment is made directly to the event organizer through their payment processor.
- Refund and cancellation policies are set by the individual event organizer.
- For payment disputes or refund requests, contact the event organizer directly.
- The Platform can assist with technical issues related to the registration process.

App access is provided through a membership subscription. The subscription grants access to the Platform's tools and features for the subscription period. Setup and maintenance fees may apply. Subscription terms and pricing are as displayed at the time of purchase.
10. Account Termination
The Platform reserves the right to suspend or terminate accounts that violate these terms, engage in fraudulent activity, or misuse the Platform. Published events may be removed by platform administrators if they violate these terms or applicable laws.
11. Limitation of Liability
The Platform provides tools and infrastructure for event management. The Platform is not liable for the actions of event organizers, the quality of events, payment disputes between organizers and attendees, or tax obligations of organizers. Use of the Platform is at your own risk.
